Terms and Conditions

Last updated: September 13, 2026

Welcome to the UroAI Health website. UroAI Health is a product of Consent Vault, Inc. ("Consent Vault," "we," "us," or "our"). These Terms and Conditions form a legal agreement between you, as an individual who accesses or uses this website, and Consent Vault. They govern your use of this website and of all text, data, information, software, graphics, images, and other materials we make available through it (together, the "Content"). The website and the Content are referred to here as the "Site."

Please read these Terms carefully. By accessing or using the Site in any way, you confirm that you have read and understood them and agree to be bound by them. If you do not agree, please do not use the Site.

These Terms do not cover the purchase of or access to the UroAI Health platform itself. Those are governed by a separate written agreement between Consent Vault and your practice or organization, along with a Business Associate Agreement where one is required. If that agreement conflicts with these Terms, that agreement controls for platform use.

Changes

We may revise these Terms at any time. When we do, we will post the revised version on the Site and update the date at the top of this page. We may also change, suspend, or discontinue the Site or any part of it without notice. If you object to a revision, your only remedy is to stop using the Site. Continuing to use the Site after a revision is posted means you accept the revised Terms.

Not medical advice

The Site is intended as general information about our company and our software. Nothing on the Site is medical advice, diagnosis, or treatment, and nothing on it creates a clinician-patient relationship. If you are a patient with a question about your care, speak with your urology practice or another qualified healthcare professional. If you believe you are having a medical emergency, call 911 or your local emergency number immediately.

Clinical responsibility

Where our software presents information to support clinical or operational decisions, that information is a support tool and nothing more. It does not replace the independent professional judgment of a licensed clinician. Licensed clinicians and the practices that employ them remain solely responsible for every diagnosis, treatment, and patient care decision, and for verifying any information before acting on it.

Proprietary rights

"UroAI Health," "Consent Vault," our logos, and the other names, designs, and slogans used on the Site to identify our business, products, or services are trademarks of Consent Vault or its affiliates and licensors. You may not use them without our prior written permission. All other names, logos, designs, and slogans appearing on the Site belong to their respective owners.

Unless we state otherwise, all right, title, and interest in the Site, including the Content and the software and other technology used to provide it, together with all related intellectual property rights, remain the exclusive property of Consent Vault. All rights are reserved.

Feedback

Any comments, questions, suggestions, or other feedback you send us about our business, our products, or the Site, by any means, will be treated as neither confidential nor proprietary. You assign to us all right, title, and interest in that feedback, and we may use it for any purpose, including developing, marketing, and selling products and services, without attribution or payment to you.

Permitted use and restrictions

You may access and use the Site only for your own personal, non-commercial purposes, in a way that fits the features and functionality of the Site and that is lawful and permitted by these Terms. Any other use requires our prior written approval.

By way of example and not limitation, unless we give you prior written approval, you agree that you will not, and will not permit anyone else to:

  • Sell, rent, or sublicense any Content or any other part of the Site.
  • Download, reproduce, print, or copy any Content or any other part of the Site, except as fair use allows, and except that you may print a reasonable number of pages for your own personal, non-commercial reference.
  • Transmit, publish, perform, display, post, or distribute any Content or any other part of the Site.
  • Upload malicious code or harmful software to the Site.
  • Adapt, translate, modify, revise, transform, or create derivative works from the Content or any other part of the Site.
  • Break any applicable law, rule, or regulation.
  • Circumvent, disable, or otherwise interfere with the security or operation of the Site, or attempt to do so.
  • Access the Site, or attempt to access accounts or data on it, without authorization.
  • Link to the Site without our prior written consent, except as fair use allows.
  • Infringe any law, third-party right, or policy of ours.
  • Use any automated system, including robots, spiders, scrapers, or offline readers, to access the Site.
  • Use any part of the Content, directly or indirectly, to train any artificial intelligence system or tool.
  • Remove, obscure, or alter any copyright notice, trademark, proprietary legend, attribution, disclaimer, or other notice appearing in any Content.
  • Submit protected health information, or any other confidential patient information, through the Site, including through our contact form.

To avoid any doubt, these restrictions apply equally when the activity is carried out using artificial intelligence systems or tools.

Information you submit

When you send us a message through the Site, you confirm that the information you provide is accurate and that you are entitled to share it. Please keep your message free of protected health information, and free of any confidential information belonging to your practice or to a third party. We may use the information you send to respond to you and to keep a record of our correspondence, as described in our Privacy Declaration.

Privacy

All information collected by us or on our behalf through the Site is handled in accordance with our Privacy Declaration. By accessing or using the Site, you consent to our handling of your information as described there. Protected health information that we process on behalf of a practice using our platform is governed by our Business Associate Agreement with that practice, not by these Terms.

Third-party sites

The Site may link to or otherwise let you reach websites, applications, products, and services that we neither own nor control. We encourage you to be aware when you leave the Site and to read the terms and privacy policies that apply to whatever you go on to use. We have no control over and accept no responsibility for third-party websites, applications, products, or services. You use them entirely at your own risk and subject to their terms.

Disclaimer of warranty

THE SITE, INCLUDING ALL CONTENT PROVIDED ON OR THROUGH IT, IS PROVIDED "AS IS," WITH NO WARRANTIES, GUARANTEES, OR REPRESENTATIONS OF ANY KIND. CONSENT VAULT MAKES NO REPRESENTATION OR WARRANTY THAT THE CONTENT IS OR WILL BE TIMELY, ACCURATE, COMPLETE, OR FREE OF ERROR, OR THAT THE SITE WILL BE UNINTERRUPTED OR SECURE. YOU UNDERSTAND THAT YOUR ACCESS TO AND USE OF THE SITE, INCLUDING ANY CONTENT YOU OBTAIN FROM IT, IS AT YOUR OWN DISCRETION AND RISK. Some jurisdictions do not allow the disclaimer or limitation of certain implied warranties, so parts of this section may not apply to you. Where any disclaimer or limitation in this section is prohibited by applicable law, it applies to the maximum extent that law permits.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CONSENT VAULT WILL NOT BE LIABLE TO YOU FOR ANY DAMAGES ARISING FROM YOUR ACCESS TO OR USE OF THE SITE OR ANY CONTENT ON IT. IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, EXTRAORDINARY, EXEMPLARY, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST DATA, REVENUE, PROFITS, OR USE, HOWEVER ARISING, EVEN IF WE HAVE BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE. Some jurisdictions do not allow these limitations, so parts of this section may not apply to you. Where any limitation in this section is prohibited by applicable law, it applies to the maximum extent that law permits.

Indemnification

You agree to defend, indemnify, and hold harmless Consent Vault and its officers, employees, and agents from any claim, loss, liability, or expense, including reasonable legal fees, arising from your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

Local laws

We control and operate the Site from our offices in the State of Utah, United States. The Site may not be appropriate or available for use in other locations. If you use the Site from outside the United States, you do so at your own risk and you alone are responsible for complying with the laws that apply where you are.

Applicable law and jurisdiction

These Terms, and the relationship between you as a user of the Site and Consent Vault, are governed by the laws of the State of Utah, without regard to its conflict-of-law rules. Any dispute between us relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Salt Lake County, State of Utah, United States of America.

General

If we do not exercise a right under these Terms, that is not a waiver of the right. If any provision is found inconsistent with applicable law, it will be interpreted to reflect our original intentions as closely as possible, and the remaining provisions will stay in force. These Terms are the entire agreement between you and Consent Vault on this subject and replace any earlier agreements, representations, or understandings about it, whether spoken or written. The sections on proprietary rights, disclaimer of warranty, limitation of liability, indemnification, applicable law and jurisdiction, and these general provisions survive any termination of these Terms.
